BUSINESS NEWS
- ➤ Malvern-based Endo has agreed to merge with Mallinckrodt in a cash and stock deal that values the combined company at $6.7 billion. Under the agreement, Endo shareholders will receive $80 million in cash and a 49.9 percent ownership stake while Mallinckrodt shareholders hold 50.1 percent — the companies plan to combine their generics and sterile injectables businesses and later separate their branded drugs business. - ➤ Effective Jan. 1st, 2025, Pennsylvania will replace its decennial report with a new Annual Report for certain domestic and foreign business entities that must now submit key details including name, jurisdiction, registered office address and principal officers. Most entities must pay a $7 fee (nonprofit corporations are exempt) with deadlines of June 30th for corporations, Sept. 30th for LLCs and Dec. 31st for other associations, and non-filers after 2027 will face administrative dissolution six months later. - ➤ MacElree Harvey spoke with criminal defense attorney Caroline G. Donato as part of Women’s History Month to honor her work and journey in the legal field. She explained how her career shifted from business law to criminal defense with firm support and noted her growth over 10 years (attaining a partner role at 30). VISTA Today
EDUCATION NEWS
- ➤ ACLU of Pennsylvania and the Education Law Center-PA sent a letter to school districts warning that ending diversity programs could lead to expensive nondiscrimination lawsuits. The letter states that DEI policies are protected under state and federal law and that local control of curriculum makes federal demands ineffective—allowing schools to continue their practices. GOVERNMENT NEWS
- ➤ PennDOT maintenance crews will repair potholes on more than 65 state highways next week in Philadelphia, Bucks, Chester, Delaware and Montgomery counties. The repairs will continue until all pavement is fixed (motorists should slow down near work areas) and depend on weather conditions. WFMZ-TV
